    Sale of S Corp

    Stock sale to be completed on Monday. Do I accrue legal and accounting expenses on the fs and tax return? If so, do I estimate? They will be paid from funds after closing. I need to provide updated financial statments and a proforma tax return for the sale.

    to consider what is happening. Only the stock is being sold, not corporate assets.

    therefore it is completely unrelated to the corporation which pays no expenses of a
    stock sale between private parties.
    Would General Motors pay the transfer expenses when their stock is sold between
    two parties?
