    Scorp setup

    Client wants to setup Scorp. Scorp requires that shareholder/owner must be resident or Citizen of USA.

    This client has EAD (Employment Authorization Doc). Next, he will get his Permanant residency (Greencard) soon.

    Can he setup S corp?

    The only people not allowed to be an SCorp shareholder is a NON RESIDENT Alien. There are other restrictions but for your question this person is allowed to be a shareholder of an S Corp. If he should move back to his country the S Election would cease and the S would become a C.
