    LLC to Corp

    Client is dissolving a two member LLC and creating a corporation with the partners being equal shareholders. What are a few of the significant tax ramifications of this action? All comments appreciated.

      If your LLC was taxed as a PS, then you might be able to avoid any tax consequences by following the sec 351 rules.
