Excess S Distributions

A distribution from an S corp in excess of Stock Basis is reportable as a Capital Gain.

What is the holding period to determine whether this is long-term or short-term? If possible, please cite references.

How long have you held the stock? That determines the holding period. Sorry, I can't give you a cite because I'm not in my office.
