There is no partnership agreement. They are a married couple and for whatever reason formed a partnership.

Here are some of my thoughts:- I would get a POA for both the entity and individually so you can work directly with the IRS as you clearly have a mess
- Is this truly a partnership or is this an LLC that may have elected S corp status and some documentation is missing?
- Bullet number 2 may be the reason an S corp return had been filed in the previous two years.....
- Since the husband now has a W-2 job, do they want to continue in a "partnership" form (assuming this is the actual form), or can they simplify the structure and liquidate the partnership?
- This doesn't address your initial reason for posting, but there are too many unanswered questions to provide too much additional guidance.
