    S Corp and Article of Incorporation

    if you registeras a S Corp, have a EIN number and Articles of Incorporation but have not actively participated in the business yet. Do you need to file quarterly reports like 941's and end of year 1120 and k-1's etc.?

    Yes. Your letter of acceptance from the IRS will tell you what returns they are expecting from you by what dates, Form 1120-S by 15 March 2015, for instance. If you told them you have employees, they expected 941s, etc. The forms should be pretty easy if they are mostly zeros.

      Yes. and the numbers would be 0.

      Also if they ever file a 941 with a non 0 figure and then they stop because no more employees, make sure the final 941 indicates that. One of my clients got in trouble for that. His prior preparer forgot to check that box off with the last payroll date!
