    New Internet LLC

Client called with a proposed internet company that will be formed in NV as an LLC. It will have 4 members. One in PA, one in NY, one in NV, and the last in UT. Sales will come from ALL states.

My question involves any State filing and how Internet Companies report to States, if any. Is the K-1 sufficent. I believe NV has no state income tax...??

Where the LLC is created doesn't matter. What matters is where the client is doing business and where the income is collected. If the income goes to his home state that is where the taxes are paid. People create the business thru NV thinking they can avoid paying taxes. IRS is aware of this issue. taxea

I have no problem with the IRS but with any state filing. Each Member will act as moderator from within each of their own state. Income is coming from US and all over the world. "What state filing would be required for the LLC?" is my question...............

You need to check the rules of each state. They are all different. Some require reporting of an income when business is conducted in their state. The thought is, if you are selling to residents of the state, you are effectively doing business in that state.taxea
